Terms of Service

1. Definitions and Interpretation

In these Terms of Service, unless the context requires otherwise:

  • "Vehiclix," "we," "our," or "us" refers to Vehiclix Ltd and its subsidiaries, affiliates, officers, employees, agents, and contractors
  • "Advertiser" refers to any individual, company, or organization that purchases advertising services from Vehiclix
  • "Driver Partner" or "Driver" refers to any individual who registers to display advertising on their vehicle
  • "Campaign" refers to any advertising project commissioned through our platform
  • "Platform" refers to our website, mobile applications, and related services
  • "Advertising Materials" refers to any vinyl wraps, stickers, or other materials used to display advertisements
  • "Verification" refers to the monthly photo and mileage documentation process
  • "Service Area" refers to the Greater Glasgow metropolitan area

2. Agreement Formation and Modification

These terms constitute a legally binding agreement:

  • By using our services, you acknowledge reading, understanding, and accepting these terms in their entirety
  • If you do not agree to any part of these terms, you must not use our services
  • We reserve the right to modify these terms at any time with 30 days notice
  • Continued use after modifications constitutes acceptance of updated terms
  • These terms supersede all previous agreements and understandings
  • If any provision is found to be invalid, the remaining provisions remain in full effect
  • No oral modifications to these terms are valid

3. Advertiser Obligations and Rights

3.1 Campaign Requirements:

  • Minimum campaign duration is 6 months
  • All campaign fees must be paid in advance
  • Campaigns must start within 30 days of payment
  • Campaign materials must meet our technical specifications

3.2 Content Requirements:

  • Must comply with all applicable advertising laws and regulations
  • Must not promote illegal goods or services
  • Must not contain discriminatory, offensive, or adult content
  • Must not infringe on third-party intellectual property rights
  • Must be truthful and not misleading

3.3 Advertiser Acknowledgments:

  • Impression estimates are approximations based on historical data
  • Actual coverage may vary based on driver routes and circumstances
  • No guaranteed minimum impressions are provided
  • Campaign effectiveness can be affected by weather, lighting, and other external factors
  • Driver routes cannot be specifically directed or controlled

4. Driver Partner Obligations and Rights

4.1 Vehicle Requirements:

  • Vehicle must be less than 10 years old from first registration date
  • Must maintain valid MOT certificate throughout partnership
  • Must be free from visible damage, rust, and mismatched panels
  • Must be cleaned at least weekly
  • Must not be modified in ways that affect advertising display
  • Must not be used for ride-sharing services without prior written approval

4.2 Operational Requirements:

  • Minimum daily usage of 12 miles or 2 hours within Service Area
  • Must complete monthly verification process within specified window
  • Must maintain Vehiclix app with location services enabled
  • Must report any damage to advertising materials within 24 hours
  • Must not cover or modify advertising materials
  • Must provide 30 days notice before termination

4.3 Documentation Requirements:

  • Must maintain valid UK driving license
  • Must maintain comprehensive vehicle insurance
  • Must provide proof of vehicle ownership or authorized use
  • Must maintain valid road tax
  • Must provide updated documentation upon expiry

5. Payment Terms and Conditions

5.1 Advertiser Payments:

  • Full payment required before campaign launch
  • No refunds for campaign cancellation
  • Additional fees apply for campaign modifications
  • Late payments incur a 5% monthly fee
  • Payment disputes must be raised within 7 days

5.2 Driver Partner Payments:

  • £100 monthly payment subject to verification compliance
  • Payments processed within 7 days of verification
  • No payment for incomplete verification
  • No payment for periods of vehicle non-compliance
  • Tax responsibility lies with Driver Partner
  • Payment disputes must be raised within 30 days

6. Data Collection and Privacy

6.1 Location Data:

  • Collected every 10 minutes while app is active
  • Used for impression calculations and coverage verification
  • Stored for up to 24 months
  • May be shared with advertisers in aggregated form
  • May be used for service improvement and analysis

6.2 Verification Data:

  • Photos stored for duration of campaign plus 12 months
  • Mileage data retained for payment verification
  • May be used to resolve disputes
  • May be shared with relevant authorities if required

7. Liability and Insurance

7.1 Vehiclix Liability Limitations:

  • Not liable for vehicle damage during installation or removal
  • Not liable for accidents or incidents involving advertising vehicles
  • Not liable for campaign performance or effectiveness
  • Not liable for technical issues with app or platform
  • Not liable for third-party claims against advertisers or drivers
  • Total liability limited to fees paid in previous 12 months

7.2 Insurance Requirements:

  • Drivers must maintain comprehensive vehicle insurance
  • Drivers must inform insurers of advertising activities
  • Drivers responsible for any insurance premium increases
  • Advertisers must maintain public liability insurance
  • Proof of insurance must be provided upon request

8. Intellectual Property

Intellectual property rights:

  • All platform content and technology remains Vehiclix property
  • Advertisers retain rights to their advertising content
  • Vehiclix may use campaign images for promotional purposes
  • Drivers may not reproduce or modify advertising materials
  • Campaign analytics and data belong to Vehiclix

9. Termination and Suspension

9.1 Termination by Vehiclix:

  • Immediate for terms violation
  • Immediate for false information provision
  • Immediate for illegal activities
  • 30 days notice without cause
  • Immediate for insolvency or bankruptcy

9.2 Termination by Driver:

  • 30 days written notice required
  • Must maintain service during notice period
  • Must return all advertising materials
  • Final payment subject to compliance
  • May not rejoin platform for 6 months

9.3 Termination by Advertiser:

  • No refunds for early termination
  • Must complete minimum campaign duration
  • Early termination fee applies
  • Must provide 30 days notice for non-renewal

10. Dispute Resolution

Resolution process:

  • All disputes governed by Scottish law
  • Exclusive jurisdiction of Glasgow courts
  • Mandatory mediation before legal proceedings
  • Each party bears own legal costs
  • Class action waiver applies
  • 12-month limitation period for claims

11. Force Majeure

Neither party shall be liable for failure to perform due to:

  • Natural disasters or severe weather
  • Government actions or regulations
  • National emergencies
  • Strikes or labor disputes
  • Internet or telecommunications failures
  • Other events beyond reasonable control

12. Severability and Survival

If any provision is found invalid:

  • Remaining provisions remain in full effect
  • Invalid provision replaced with valid equivalent
  • Fundamental terms survive termination
  • Payment obligations survive termination
  • Confidentiality obligations survive indefinitely
